Terms of Service

1. Eligibility & Accounts

1. You must be at least 18 years old and have the legal capacity to enter into these Terms.
2. You are responsible for the accuracy of your account information and for maintaining the confidentiality of your credentials. You are responsible for all activities that occur under your account.
3. If you are using the Service on behalf of an organization (e.g., a company or "workspace"), you represent that you have authority to bind that organization, and "you" will refer to that organization.

2. The Service

1. The Service is a cloud-based software service (“Software as a Service”, SaaS) that provides tools for managing software releases within Linear workspaces. The Service allows users to group issues into releases, track their progress, generate release notes, and optionally integrate with third-party services such as Slack or GitHub. The Service is provided via web application and subscription-based access.
2. We may update, improve, or modify the Service from time to time. Material changes will be announced via email or in-app notices.

3. Subscriptions, Fees & Taxes

1. Plans. We offer subscription plans (e.g., Free, Pro, Business) on a monthly or yearly basis. Current plan features and prices are shown at [https://releasekit.digital/#pricing].
2. Billing. By subscribing, you authorize us (or our payment provider LemonSqueezy) to charge fees to your selected payment method on a recurring basis until you cancel.
3. Taxes. Fees are exclusive of any applicable taxes (e.g., VAT, GST, sales tax). Where required, taxes will be added at checkout and collected by us or our payment provider.
4. Trials & Promotions. Any free trial or promotional offer is subject to the terms displayed at sign-up and may be changed or withdrawn at any time.
5. Price Changes. We may change prices with reasonable prior notice. Changes take effect at the start of your next billing period unless stated otherwise.

4. Cancellations & Refunds

1. Cancellation. You can cancel at any time via in-app billing page, contact support or self-service portal of LemonSqueezy. Your subscription remains active until the end of the current billing period.
2. Refunds. Unless required by law or expressly stated otherwise, fees are non-refundable.
3. EU Digital Content Notice. If you are a consumer in the EEA/UK purchasing immediate access to the Service, you acknowledge and expressly consent that performance begins immediately and that you thereby lose any statutory withdrawal right once performance has begun.

5. Acceptable Use

1. You agree not to misuse the Service, including but not limited to: (i) violating laws; (ii) infringing intellectual property or privacy rights; (iii) distributing malware; (iv) attempting unauthorized access; (v) burdening or disrupting the Service.
2. We may suspend or terminate access for violations of these Terms or applicable laws.

6. Third-Party Services

The Service may interoperate with third-party services (e.g. Linear, Slack, GitHub). We do not control third-party services and are not responsible for their content, policies, or availability. Your use of third-party services is governed by their terms.

7. Intellectual Property

1. We retain all right, title, and interest in and to the Service, including software, designs, and content, except for content you submit.
2. You may not copy, modify, reverse engineer, or create derivative works of the Service except as permitted by law.

8. Your Content & Feedback

1. You retain ownership of content you submit to the Service. You grant us a worldwide, non-exclusive, royalty-free license to host, process, and display that content solely to provide and improve the Service.
2. If you submit feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without obligation.

9. Privacy

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect personal data. We also maintain data processing agreements with our subprocessors as required by law.

10. Warranties & Disclaimers

1. The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement.
2. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that it will meet your requirements.

11. Limitation of Liability

1. To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, data, or goodwill.
2. Our total aggregate liability arising out of or relating to the Service or these Terms is limited to the amounts paid by you to us for the Service in the twelve (12) months preceding the event giving rise to liability.

12. Indemnification

You agree to defend, indemnify, and hold harmless Martin Hoffmann and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service or violation of these Terms.

13. Suspension & Termination

1. We may suspend or terminate your access to the Service immediately for cause (e.g., legal violations, security risk, non-payment), or upon a 30-day notice period for convenience.
2. Upon termination, your right to use the Service ceases. We may retain or delete data consistent with our Privacy Policy and legal obligations.

15. Export Controls & Sanctions

You represent that you are not located in, under the control of, or a national/resident of any country or entity subject to embargoes or sanctions. You will comply with all applicable export control and sanctions laws.

16. Governing Law & Venue

These Terms are governed by the laws of germany, excluding its conflict of law rules. Courts located in germany will have exclusive jurisdiction, and you consent to their personal jurisdiction.

17. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the updated Terms and update the effective date. If changes are material, we will provide reasonable advance notice via email. Your continued use of the Service after the effective date constitutes acceptance of the changes.

18. Notices

Legal notices may be sent to contact@releasekit.digital or to Martin Hoffmann, Arndtstr. 49, 04275 Leipzig, Germany. We may provide notices to you via email to your account email or via in-app notifications.

19. Miscellaneous

1. Entire Agreement. These Terms constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.
2. Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
3. Severability. If any provision is found unenforceable, the remaining provisions will remain in full force.
4. No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
